Um, that's - legally speaking - the EB doing it then.

When the exec do a thing, using the orgs resources, that is the organisation doing that thing - even if the majority of members disagree or disapprove.

The EB can bleat disavowal all they like, but while their governing body does things using it's resources, the EB is doing the thing. That's how corporations work. The governing peoples can claim they're not acting as the exec when they do so - but if that's the case, then they're committing fraud/embezzlement ... on a grand scale. They can't have it both ways.
